Cognex to Aquire RealSense in $500M Landmark Deal

We are proud to have represented Cognex Corporation (NASDAQ: CGNX), a global leader in industrial machine vision, as Israeli counsel in connection with its agreement to acquire RealSense for approximately $500 million.

RealSense is a pioneer in depth-sensing cameras and vision technology for robotic perception and Physical AI. The acquisition will further expand Cognex’s capabilities and presence in the rapidly growing robotic perception market.

Our team was led by partner Ezra Gross, working closely with Foley & Lardner LLP, U.S. counsel to Cognex, led by Jon Gabriel. Ezra was supported by Shmulie (Samuel) Kuperstok and Omer Sarusi, advising on corporate matters and due diligence; Ofir Levy and Meir Greenwald on tax matters; Ben Sandler and Michael Portman on options and employee equity compensation; Adi Krupsky on antitrust; and Neta Goshen Brami on labor and employment matters.
