Ezra Gross is a senior partner in the firm, specializing in mergers and acquisitions, banking and finance, private equity, venture capital, high-tech and life sciences.

Ezra represents Israeli and international private equity funds, venture capital funds, angel investors, entrepreneurs, emerging growth companies and multinational corporations. He also has extensive experience in representing foreign clients in their investment activity in Israel.

With a particular focus on domestic and cross-border M&A transactions, corporate financings and complex commercial transactions, Ezra provides corporate counsel to privately-held companies in their initial and developmental stages, and to multinational, publicly-traded companies in their ongoing commercial transactions, as well as in corporate governance, compliance, reporting and other general corporate and commercial matters.

Ezra’s experience includes working on some of the largest mergers and acquisitions in the Israeli economy, involving both privately-held and publicly-traded Israeli and foreign corporations. He also advises high-tech companies in all their ongoing corporate matters, and has represented a significant number of clients from inception through their M&A exits.

Ezra’s counsel is also sought after in international real estate transactions, complex joint ventures, and management agreements for global/ international groups.

Ezra is also a member of the firm’s High-Tech, Real Estate, Family Wealth Management, and Nonprofits Departments. He advises private clients on VC investments, administration of international estates, probate, trusts and complex real estate transactions, and represents high-net-worth private clients, in Israel and abroad, with issues involving the management of their family wealth and assets, and in handling their private property transactions. He also leads of the firm’s Automotive Practice and has extensive experience in counselling startups and established companies in the automotive field.

Ezra received rabbinic ordination from the Chief Rabbinate of Israel and holds the rank of captain in the Israel Defense Forces. He joined the firm in 2007 as a lawyer and became a partner in 2015.

Ezra is fluent in Hebrew and English.

  • Represented Intel Corporation in its acquisition of numerous Israeli companies, including:
    • Its $15.3 billion acquisition of advanced driver-assistance systems developer, Mobileye – the largest M&A transaction to take place in Israel.
    • Its $5.4 billion acquisition of Tower Semiconductor Ltd. (Nasdaq: TSEM)
    • Its $2 billion acquisition of the Tel Aviv-based artificial intelligence chip developer, Habana Labs Ltd.
    • Its $1 billion acquisition Moovit, a mobility-as-a-service (MaaS) solutions company.
  • Represented Alcon in the acquisition of Belkin Vision for $81 million with potential for up to $385 million in payments.
  • Represented Zscaler, Inc., a Nasdaq-listed cloud security company, in the acquisition of Canonic Security, for an estimated $20 million and Israeli cloud company Trustdome.
  • Represented Intuit in the acquisition of imVision, for $50 million.
  • Represented HelpSystems in the acquisition of Israeli cybersecurity company, Beyond Security.
  • Represented an international publicly-traded manufacturer of gases and chemicals in its acquisition of an Israeli company, for NIS 575 million.
  • Represented an Israeli social gaming company in its $200 million sale to a multinational online gaming corporation.
  • Represented Navasota Resources Inc., in a reverse takeover with Israeli medical cannabis operator IMC, after which IMC became the first Israeli medical cannabis operator to list its shares in Canada.
  • Represented online video editor Magisto Ltd. in its acquisition by video platform Vimeo, Inc. for a reported $165 million.
  • Represented Medtronic in its acquisition of Nutrino and other Israeli med-tech companies.
  • Represented ZOOZ Mobile in its acquisition by PayU Global B.V., a payments division of Naspers.
  • Represented Belmont Instrument, LLC, a portfolio company of Audax Private Equity, in its acquisition of MTRE Advanced Technologies.
  • Represented Groupon, Inc. in the sale of its interest in the Israeli subsidiary Grouper Social Shopping Ltd.
  • Represented Forcepoint (a Raytheon subsidiary) in its acquisition of the assets of Skyfence (a subsidiary of Imperva, Inc.).
  • Represented KONE Corporation in its acquisition of Isralift Industries Ltd.
