Avi is a partner in the firm’s Cross-Border and Domestic M&A practice group. Avi is an experienced corporate attorney specializing in mergers and acquisitions and venture capital equity, debt and hybrid transactions.

During the 2006-2007 Term, Avi served as a foreign law clerk in the chambers of President (then Justice) Miriam Naor of the Supreme Court of Israel.

EXPERIENCE HIGHLIGHTS

Representative matters prior to joining Tadmor Levy include advising:

  • Allergan Aesthetics, an AbbVie Inc. (NYSE: ABBV) company, in the acquisition of assets of Luminera Derm Ltd., including Luminera’s innovative dermal filler portfolio and R&D pipeline.
  • Venus Concept Ltd., a private Israeli company, in its merger with Restoration Robotics, Inc., a Delaware corporation traded on the NASDAQ (NASDAQ: HAIR), which was executed via an Israeli law reverse triangular merger, resulting in Venus Concept becoming a wholly-owned subsidiary of Restoration Robotics and Venus Concept shareholders owning the majority of Restoration Robotics immediately following the merger.
  • Venus Concept Ltd., in raising USD 29.05 million in a convertible loan financing.
  • B.O.S. Better Online Solutions Ltd. (NASDAQ: BOSC), a leading Israeli integrator of RFID and mobile solutions and a global provider of supply-chain solutions to enterprises, in its acquisition of the assets of Imdecol Ltd., a global integrator and manufacturer of automatic and robotic systems that enhance the productivity of production lines.
  • Shanghai GEOC Hengtong Investment Limited Partnership, a Chinese investment fund, and its affiliates in a USD 5 million Series B investment round in Vectorious Medical Technologies Ltd. in which they were the lead investors together with Broadview Ventures.
  • Apax Partners, in the acquisition of 3M’s (NYSE: MMM) electronic-monitoring business.
  • Shanghai GEOC Hengtong Investment Limited Partnership, a Chinese investment fund, and its affiliates, including Fortune China Limited, in a USD 16 million Series B investment round in S.D. Sight Diagnostics Ltd. in which they were the lead investors.
  • Delek Group Ltd., in a transaction for the sale of 4.9% of the share capital of The Phoenix Holdings Ltd., and for the grant of an option to the buyer to acquire the remaining shares held by Delek Group (totaling 52.25%) and thus control of the company.
  • Golan Telecom, in its acquisition by Electra Consumer Products for NIS 350 million.
  • Y.T.Y. Lenny Investments Ltd., in a Series A investment round in Guardian Optical Technologies Ltd. in which they were the lead investors.
  • SeaSpine in an agreement to acquire the assets of NTL Spine, an expandable interbody platform technologies company.
  • Israeli conglomerate, Delek Group (TASE:DLEKG), in the proposed NIS 1.95 billion sale of their controlling stake in The Phoenix Holdings Ltd. (PHOE1:TASE), at that time the holding company of one of Israel’s largest insurance companies (The Phoenix Insurance Company) and largest investment houses (Excellence), to Fujian Yango Group Co., Ltd., a large privately-owned Chinese conglomerate.
  • Shanghai GEOC Hengtong Investment Limited Partnership, a Chinese investment fund, and its affiliates, Fortune China Limited, in a USD 8 million investment round in Kaymera Technologies Ltd. in which they were the lead investors.
  • Fortissimo Capital Fund, in its acquisition of Fishman Thermo Technologies Ltd. from Tene for Investment F.E., Limited Partnership, Origo 1 Manof Fund, Limited Partnership, Origo 2 Manof Fund, Limited Partnership and Ilanit Cohen.
  • Delek Group Ltd., in the proposed sale of their controlling stake in The Phoenix Holdings Ltd., which held one of Israel’s leading insurance companies (The Phoenix Insurance Company) and one of Israel’s largest investment houses (Excellence), to an affiliate of Fosun International Ltd., a large, privately-owned Chinese conglomerate.
  • Shanghai GEOC Hengtong Investment Limited Partnership and its affiliate, Fortune China Ltd., in a USD 10 million investment in Highcon Systems Ltd.
  • 3D Systems Inc., in the USD 120 million cash acquisition of Simbionix USA Corp., a developer of 3D virtual-reality simulation systems for training doctors to conduct complex surgical and treatment procedures.
  • Altria Group Inc. (NYSE: MO), in its acquisition of S.I.S. Resources Ltd. and its affiliates, an electronic cigarette business, for USD 110 million and up to USD 20 million in earnout payments.
