Shai specializes in complex financing transactions, insolvency law, mergers and acquisitions, and public offerings, including offerings of both equity and debt securities. He offers legal counsel to investment funds, banks, insurance companies, financial institutions, and other lenders from Israel and abroad.

As part of his work in the realm of complex transactions, Shai supports private and public companies and financial institutions and assists in facilitating large-scale acquisitions, sales, spin-offs, mergers, investments, financings, restructurings, loan syndications, debt arrangements, securitizations, the purchase and sale of credit portfolios, as well as other commercial transactions.

Shai also represents private companies in their initial public offerings (IPOs) in the Tel Aviv Stock Exchange and in foreign stock exchanges, as well issuers and underwriters of public offerings of equity and debt securities.

In the field of insolvency law, Shai represents companies, borrowers, and bondholders involved in various types of insolvency proceedings.

His areas of expertise also include corporate and securities law. Shai offers guidance to senior management teams of public and private companies, including those in the hi-tech, financing, biotech, and infrastructure sectors. He advises these teams on matters concerning corporate governance, shareholder matters, and transactions involving interested parties.

Additionally, Shai offers serves as an advisor to special committees of various companies’ boards of directors as well as to financial institutions, such as ISDA, ICMA, and ISLA and offers valuable insight on matters pertaining to Israeli legal and regulatory issues.

Shai received his law degree, magna cum laude, from Haifa University in 2014 and was admitted to the Israeli Bar Association in 2014. During his studies Shai acted as teaching assistant in the corporate law course.

Shai joined the firm as a lawyer in 2014 and became a partner in 2022.

  • Represented Discount Investments in the sale of controlling shares in Elron Ventures to Arieli Capital for approximately Nis 200,000,000.
  • Represented Michlol Mimun Nadlan in a groundbreaking issuance of non-recourse bonds backed by credit assets for institutional investors. These bonds will be traded on the institutional continuous trading system of the Tel Aviv Stock Exchange, amounting to approximately Nis 200,000,000.
  • Represented Discount Investment Corp. Ltd (DIC), a public traded company, in the sale of the controlling shares of Cellcom Israel Ltd, one of the largest telecommunications companies in Israel, to Fortissimo Capital Fund, for a consideration of NIS 925,000,000.
  • Represented Metropolis Public Transportation in a financing agreement with Discount Bank in the amount of approximately NIS 970,000,000.
  • Represented Harel Insurance in the purchase of Isracard for approximately NIS 3 billion.
  • Represented Metropolitan Public Transportation in a financing agreement with Bank Leumi in the amount of approximately NIS 950,000,000.
  • Represented Aura Smart Air, which is traded on the Tel Aviv Stock Exchange, in a merger agreement with Molkeule, which is traded on Nasdaq.
  • Represented Intel Global in the purchase of Tower Semiconductor for approximately NIS 5.4 billion.
  • Represented Paz in the purchase of Super Habib chain for NIS 155,000,000.
  • Represented the Phoenix in a first-of-its-kind venture to provide retail credit with Bank of Jerusalem in the amount of NIS 1.3 billion.
  • Represented Michlol Finance in a public bond issues to raise an aggregate amount of approximately NIS 150,000,000.
  • Represented Windward in the initial public offering (IPO) at the London Stock Exchange (LSEG).
  • Represented Aura Smart Air in the initial public offering (IPO) at the Tel Aviv Stock Exchange.

  • Represented Shapir Engineering in the acquisition of control of Avrot, which is traded on the Tel Aviv Stock Exchange.
  • Represented leading institutional investor in providing financing for a US real estate partnership in the amount of 400 million NIS.
  • Represented a private debt fund in providing financing for a hotel chain in the amount of approximately NIS 65,000,000.
  • Represented the main underwriters JP Morgan Chase and Morgan Stanley in the international bond issue of Energean in the amount of approximately USD 2.5 billion.
  • Represented HSBC and JPMorgan in their role as lead underwriters in the international bond issue of Delek Drilling in the amount of approximately USD 2.25 billion.
  • Represented a leading bank in providing financing in the amount of NIS 900,000,000.
  • Represented Israel Natural Gas Lines in the issuance of bonds to the public in the amount of approximately NIS 500,000,000.
  • Represented Goldman Sachs in the issuance of Delek Int. bonds for Leviathan Ltd. in the amount of 180,000,000 dollars.
  • Represented One Technologies in the purchase of Taldor for NIS 250,000,000 as well as representation of One in a private offering of shares to institutional investors in the amount of NIS 125,000,000.
  • Represented Eurocom in a debt arrangement in the amount of approximately NIS 1.2 billion.
  • Represented one of the largest banks in Israel in a number of transactions for the sale of mortgage portfolios to institutional investors with an aggregate amount of approximately NIS 1.5 billion.
  • Represented Shagrir in a initial public offering (IPO) at the Tel Aviv Stock Exchange.
  • Represented Israel Natural Gas Lines Ltd. in the initial listing for trading of bonds (IPO) on the Tel Aviv Stock Exchange.
