We are pleased to announce that our client, Bridgify Travel Ltd., has entered into a merger agreement with Trina Group, a member of HBX Group — a prominent international travel-technology corporation whose shares are publicly traded. This transaction brings together two significant players in the travel technology sector and marks a meaningful step in the consolidation of the global travel-tech market.
HBX Group, which operates leading platforms across the travel industry, is acquiring Bridgify for its AI-powered navigation and experiences technology — combining Bridgify’s innovative capabilities with HBX Group’s extensive global reach and distribution network.
This was a complex cross-border transaction, conducted opposite CMS Spain, who represented the acquiring side and were supported by APM. The deal involved intensive coordination between the parties across multiple jurisdictions, reflecting the international nature of both companies involved. The transaction includes €3 million in upfront consideration, while the overwhelming majority of the total consideration is deferred and contingent on future performance.
